If any conflict exists between information on JB Web Design's website or elsewhere and the JB Web Design Subcontractor Standards (this document), the JB Web Design Subcontractor Standards prevails, except if the conflict is with the JB Web Design Privacy Policy, in which case the JB Web Design Privacy Policy prevails.

2. JB Web Design Subcontractor Definition

   1. JB Web Design defines a JB Web Design Subcontractor as a person or business that agrees to the requirements of this document in order to undertake work assigned by JB Web Design for a JB Web Design client.

3. Purpose

   1. JB Web Design may use JB Web Design Subcontractors to obtain expertise or achieve cost or time savings.

4. Rules for JB Web Design Subcontractors

   1. JB Web Design Subcontractors must read, understand and agree to the JB Web Design Subcontractor Standards (this document).

   2. JB Web Design Subcontractors must read, understand and uphold the JB Web Design Terms of Service written for clients and the JB Web Design Privacy Policy insofar as the subcontractors receive responsibilities that those documents address.

   3. JB Web Design Subcontractors must provide JB Web Design with full, accurate and perpetually up-to-date details of their name, telephone number/s, email address, postal address and street address for the duration of their work plus the time for which they are required to keep copies of client files.

   4. JB Web Design Subcontractors must reply within 24 hours to all JB Web Design communications or sooner if agreed beforehand, unless a period of unavailability is pre-arranged.

   5. JB Web Design Subcontractors must agree to have their personal identity and work address, or in the case of businesses involving more than one person, the business identity and address, and the personal identity of all individuals involved in a JB Web Design project, revealed to the JB Web Design client if the client so requests.

   6. JB Web Design Subcontractors must not violate copyrights or the terms of use of software or online services used in work for JB Web Design clients.

   7. Australian JB Web Design Subcontractors must supply an ABN and observe Australia's National Privacy Principles.

   8. Overseas JB Web Design Subcontractors must agree, as a minimum privacy standard, to follow the principles of Australia's National Privacy Principles as if they applied in the subcontractor's locality except where the law governing that locality requires otherwise. If the law governing that locality does require otherwise, the JB Web Design Subcontractor must advise immediately of the differences, the consequences of which will be investigated before any further work is approved.

   9. No JB Web Design Subcontractor may outsource tasks assigned by JB Web Design.

   10. No overseas JB Web Design Subcontractor may disclose any client information to a third party unless required by law to do so, and must advise JB Web Design immediately if such a legal requirement is issued.

   11. No JB Web Design Subcontractor may contact a JB Web Design client or accept communication from such a client unless expressly authorised by JB Web Design.

   12. Notwithstanding the requirements of any other agreement, including but not limited to those of oDesk.com if applicable, a JB Web Design Subcontractor must retain a copy, annotated with the date of the most recent changes, of all JB Web Design client files for one year after the most recent change, or until JB Web Design orders their destruction, and must destroy them once destruction is ordered or must destroy them after a year otherwise.

5. Penalties for Breaches of Rules

   1. JB Web Design Subcontractors found to be in breach of the rules above forfeit payment to the extent allowed by law, may be prosecuted, and will be excluded from eligibility for further work.

6. Revision of JB Web Design Subcontractor Standards

   1. JB Web Design reserves the right to revise the JB Web Design Subcontractor Standards at any time and without prior notice.
